0.1 — By acquiring, holding, or making any use of a Nyfurion x Reborn Fragment, the Holder accepts the terms of this License, a legally binding agreement between the Creator and each Holder.
0.2 — Purpose: this License grants broad commercial rights over the Artwork of each individual Fragment, defines a royalty mechanism linked to Official Series, and preserves the Creator's ownership of the Nyfurion universe as a whole.
1.1 — “Creator”: Riccardo Duca, founder and sole owner of the Nyfurion narrative universe and of all related intellectual property.
1.2 — “Fragment”: a non-fungible token (NFT) of the Nyfurion X Reborn collection, minted on Ethereum contract 0x37176275788CFe00B355fF74575753D2E2E50203.
1.3 — “Artwork”: the digital image and the official metadata associated with a specific Fragment, created under the Creator's artistic direction with the assistance of generative AI tools (see Section 2.5).
1.4 — “Holder”: the person or entity that currently owns a Fragment, as recorded on the Ethereum blockchain (ownerOf).
1.5 — “Verified Holder”: a Holder who has completed the on-chain verification through the official Nyfurion Holder Archive claim contract (0xdF2c679F5b40373016FCE49702f1f354689E4007).
1.6 — “Official Series”: an audiovisual production (TV series, film, streaming production or equivalent) declared canonical by the Creator and produced under an agreement signed by the Creator.
1.7 — “Net Revenues”: the amounts actually received by the Creator from the producer, distributor or licensee of an Official Series, after deduction of taxes, platform and marketplace fees, agency commissions, and documented costs directly related to that production.
1.8 — “Official Channels”: the website nyfurion.com, the official Nyfurion social accounts and the holder communication channels designated by the Creator.
2.1 — All intellectual property rights in the Nyfurion universe - the narrative world, lore, names, symbols, brand and all conceptual and visual elements - remain the exclusive property of the Creator. Each Fragment embodies a license over its own Artwork, not a transfer of the universe's intellectual property.
2.2 — The Creator grants each Holder a worldwide, non-exclusive, royalty-free, sublicensable (per Section 4) commercial license to use, reproduce, display, modify and create derivative works of the Artwork of the owned Fragment, with no cap on revenues generated by the Holder.
2.3 — This license automatically and entirely transfers to the new Holder upon transfer of the Fragment on the blockchain. The previous Holder's rights cease at that moment, except as set out in Section 4.3.
2.4 — MORAL RIGHTS. The Nyfurion universe - its world, lore, names, characters and art direction - is the creative work of the Creator. Under Italian copyright law (Law No. 633/1941), the Creator's moral rights of attribution and integrity over his creative contributions are inalienable and remain with the Creator. The Holder shall not misattribute the paternity of the original Artwork or of the Nyfurion universe.
2.5 — AI-ASSISTED PRODUCTION (TRANSPARENCY). The Artworks are produced with generative AI tools, entirely under the Creator's artistic direction: the conception of the universe and of the characters, the visual direction, the iteration and selection of outputs, the curation of the collection and the post-production constitute the Creator's human creative contribution. The rights licensed under this License cover, to the maximum extent permitted by applicable law, such creative contributions, the curated collection and the elements of the Nyfurion universe. This statement is also made in line with applicable transparency rules on AI-generated content.
3.1 — The Holder may create and monetize, without additional authorization and by way of example: video games, apps, digital and metaverse experiences; comics, graphic novels, animations and narrative works derived from the owned Fragment; merchandising, secondary brands and co-branding; use in lawful commercial activities and venues; physical and digital art, installations and exhibitions; social media, media and promotional content.
3.2 — The Holder may redraw, reinterpret, illustrate, paint, sculpt, animate or otherwise transform the owned Fragment into new artistic or derivative works, physical or digital, provided such works remain unofficial and fully comply with Section 5.
3.3 — Any other form of creative or commercial project is permitted even if not expressly listed, subject to Section 5.
4.1 — The Holder may grant written sublicenses to third parties (manufacturers, publishers, developers, partners) strictly limited to Permitted Uses of the owned Fragment's Artwork.
4.2 — Sublicenses may not grant rights broader than those held by the Holder and must impose the limitations of Section 5 on the sublicensee.
4.3 — Upon transfer of the Fragment, the right to grant new sublicenses passes to the new Holder. Products already manufactured or contractually committed under a valid sublicense may be sold off, but no new production runs may be started by the former Holder or its sublicensees.
5.1 — USE OF THE NAME. The name “Nyfurion” may not be used as the main brand of a Holder's project. Secondary use is allowed solely to identify the owned Fragment (e.g. “Nyfurion Fragment #237”).
5.2 — OFFICIAL WORKS. The Holder may not create works declared or presented as official or canonical parts of the Nyfurion universe. Official projects remain the exclusive domain of the Creator.
5.3 — LORE. The official Nyfurion lore may not be modified, claimed or presented as canonical. Holder works must be presented as unofficial.
5.4 — PROHIBITED CONTENT. The Fragment may not be associated with violent, hateful, discriminatory, illegal or reputation-damaging projects, nor used in ways that violate applicable law.
5.5 — LOGOS AND ASSETS. Official logos, registered trademarks and global Nyfurion assets may not be used without the Creator's written authorization. This License covers only the Artwork of the owned Fragment.
6.1 — If an Official Series is produced, the Creator will allocate 10% (ten percent) of the Net Revenues received by the Creator from that production to a Holder Royalty Pool.
6.2 — The Pool is divided among the Verified Holders of the Fragments whose characters hold a main role in that production (protagonist or major supporting character), as determined and published by the Creator at the time of selection, in proportion to each character's role according to weightings defined by the Creator. Minor appearances and background cameos do not generate any entitlement, unless the Creator expressly decides otherwise.
6.3 — The selection of characters remains at the sole discretion of the Creator and of the production partners. Fragments whose characters do not appear receive nothing. This royalty applies exclusively to Official Series: no other product or project generates any revenue entitlement for Holders.
6.4 — Payments are made to Verified Holders only, in the form (cryptocurrency or bank transfer) and at the intervals communicated through the Official Channels, on the basis of holder verification at each payment date.
7.1 — Holder verification is performed on-chain through the official Nyfurion Holder Archive claim: it requires both current ownership (ownerOf) and completed claim (canAccess), as implemented by the claim contract.
7.2 — Verification uses only public blockchain data. Any personal data provided for payments is processed in compliance with EU Regulation 2016/679 (GDPR) and used solely for the execution of this License.
7.3 — HOW TO ACCESS THE HOLDER FILES. The holder area is available on the official website nyfurion.com (Holder section). The Holder connects the wallet that owns the Fragment, signs the free verification message and, the first time only, completes the on-chain claim registration (a small network fee applies). From then on, the Holder has access to the reserved files of the owned Fragment (references, license, extra content). Step-by-step instructions are published in the Official Channels.
8.1 — This License is effective for as long as the Holder owns the Fragment.
8.2 — In case of violation of Section 5, the Creator may notify the Holder, who has 30 days to cure. If not cured, the Creator may suspend or terminate the commercial rights for that Fragment. Personal, non-commercial display of the owned Artwork is not affected.
8.3 — Termination does not affect products lawfully placed on the market before the violation, unless such products are themselves the object of the violation.
9.1 — The Artwork and this License are provided “as is”, without warranties of any kind, including fitness for a particular purpose or commercial success of any Holder project.
9.2 — NO FINANCIAL PROMISE. Nyfurion Fragments are collectible digital art with usage rights. The royalty pool described in Section 6 is a licensing right attached to the Fragment's intellectual property, applies only in the event that an official series is actually produced, and is not a promise of profit. Owning a Fragment does not constitute an investment, a security, or a financial instrument, and nothing in this license or in any official Nyfurion communication constitutes financial advice or an investment offering.
9.3 — To the maximum extent permitted by law, the Creator's aggregate liability towards a Holder under this License shall not exceed the price paid by that Holder for the Fragment.
9.4 — TAXES. Each party bears its own taxes. Holders are solely responsible for the tax treatment of any amounts received under Section 6 in their country of residence.
9.5 — NO PARTNERSHIP. Nothing in this License creates a partnership, agency, employment or joint venture between the Creator and any Holder.
10.1 — The Creator may publish updated versions of this License. Each version is identified by a version number and by the SHA-256 hash of its PDF file; hashes may be anchored on-chain for public verification.
10.2 — The version in force at the time the Holder acquired the Fragment governs that Holder, unless a later version grants more favorable terms, in which case the Holder may elect to adopt it.
10.3 — Version history: v1.2 (July 2025) first commercial license; v2.0 (August 2025) Reborn edition; v2.1 (July 2026) Official Series Royalty Pool; v3.0 (July 2026) full legal framework; v3.1 (July 2026) bilingual edition, moral rights, GDPR, taxes, notices and assignment clauses.
11.1 — This License is governed by Italian law.
11.2 — Before starting any legal action, the parties commit to attempt an amicable resolution in good faith for 60 days from written notice of the dispute.
11.3 — For any dispute not amicably resolved, the courts of Udine (Italy) shall have exclusive jurisdiction, without prejudice to mandatory consumer protection rules applicable in the Holder's country of residence.
12.1 — If any provision is held invalid, the remaining provisions remain in full force. This License is the entire agreement between the Creator and the Holder regarding the Fragment.
12.2 — NOTICES. Official communications regarding this License are made through the Official Channels; holder-specific notices may be made through the contact details provided by the Holder, if any.
12.3 — ASSIGNMENT. The Creator may assign the administration of this License to a company controlled by the Creator — including a future company to be incorporated under the “Nyfurion” name — without reducing the rights granted to Holders.
12.4 — LANGUAGES. This License is published in English and Italian. In case of divergence, the English version prevails.
0.1 — Acquistando, detenendo o utilizzando in qualsiasi modo un Fragment Nyfurion x Reborn, l'Holder accetta i termini della presente Licenza, un accordo legalmente vincolante tra il Creator e ciascun Holder.
0.2 — Scopo: questa Licenza concede ampi diritti commerciali sull'Artwork di ogni singolo Fragment, definisce un meccanismo di royalty legato alle Serie Ufficiali e preserva la proprietà del Creator sull'universo Nyfurion nel suo complesso.
1.1 — “Creator”: Riccardo Duca, fondatore e unico proprietario dell'universo narrativo Nyfurion e di tutta la proprietà intellettuale collegata.
1.2 — “Fragment”: un token non fungibile (NFT) della collezione Nyfurion X Reborn, emesso sul contratto Ethereum 0x37176275788CFe00B355fF74575753D2E2E50203.
1.3 — “Artwork”: l'immagine digitale e i metadati ufficiali associati a uno specifico Fragment, creata sotto la direzione artistica del Creator con l'ausilio di strumenti di intelligenza artificiale generativa (v. Sezione 2.5).
1.4 — “Holder”: la persona o l'entità che possiede attualmente un Fragment, come risulta dalla blockchain Ethereum (ownerOf).
1.5 — “Verified Holder” (Holder Verificato): un Holder che ha completato la verifica on-chain tramite il contratto ufficiale Nyfurion Holder Archive claim (0xdF2c679F5b40373016FCE49702f1f354689E4007).
1.6 — “Serie Ufficiale”: una produzione audiovisiva (serie TV, film, produzione streaming o equivalente) dichiarata canonica dal Creator e prodotta in forza di un accordo firmato dal Creator.
1.7 — “Ricavi Netti”: le somme effettivamente ricevute dal Creator dal produttore, distributore o licenziatario di una Serie Ufficiale, dedotte imposte, commissioni di piattaforme e marketplace, commissioni di agenzia e costi documentati direttamente collegati a quella produzione.
1.8 — “Canali Ufficiali”: il sito nyfurion.com, gli account social ufficiali Nyfurion e i canali di comunicazione holder designati dal Creator.
2.1 — Tutti i diritti di proprietà intellettuale sull'universo Nyfurion - mondo narrativo, lore, nomi, simboli, marchio e ogni elemento concettuale e visivo - restano proprietà esclusiva del Creator. Ogni Fragment incorpora una licenza sul proprio Artwork, non un trasferimento della proprietà intellettuale dell'universo.
2.2 — Il Creator concede a ciascun Holder una licenza commerciale mondiale, non esclusiva, gratuita (royalty-free) e sub-licenziabile (ai sensi della Sezione 4) per usare, riprodurre, esporre, modificare e creare opere derivate dall'Artwork del Fragment posseduto, senza alcun tetto ai ricavi generati dall'Holder.
2.3 — Questa licenza si trasferisce automaticamente e integralmente al nuovo Holder al trasferimento del Fragment sulla blockchain. I diritti del precedente Holder cessano in quel momento, salvo quanto previsto dalla Sezione 4.3.
2.4 — DIRITTI MORALI. L'universo Nyfurion - il suo mondo, la lore, i nomi, i personaggi e la direzione artistica - è opera creativa del Creator. Ai sensi della legge italiana sul diritto d'autore (L. 633/1941), i diritti morali del Creator di paternità e integrità sui propri contributi creativi sono inalienabili e restano al Creator. L'Holder non deve attribuire falsamente la paternità dell'Artwork originale o dell'universo Nyfurion.
2.5 — PRODUZIONE ASSISTITA DA AI (TRASPARENZA). Gli Artwork sono prodotti con strumenti di intelligenza artificiale generativa, interamente sotto la direzione artistica del Creator: l'ideazione dell'universo e dei personaggi, la direzione visiva, l'iterazione e la selezione dei risultati, la cura della collezione e la post-produzione costituiscono il contributo creativo umano del Creator. I diritti concessi con questa Licenza coprono, nella misura massima consentita dalla legge applicabile, tali contributi creativi, la collezione curata e gli elementi dell'universo Nyfurion. Questa dichiarazione è resa anche in linea con le norme applicabili sulla trasparenza dei contenuti generati da AI.
3.1 — L'Holder può creare e monetizzare, senza ulteriori autorizzazioni e a titolo di esempio: videogiochi, app, esperienze digitali e nel metaverso; fumetti, graphic novel, animazioni e opere narrative derivate dal Fragment posseduto; merchandising, brand secondari e co-branding; uso in attività commerciali lecite e locali; arte fisica e digitale, installazioni e mostre; contenuti social, media e promozionali.
3.2 — L'Holder può ridisegnare, reinterpretare, illustrare, dipingere, scolpire, animare o comunque trasformare il Fragment posseduto in nuove opere artistiche o derivate, fisiche o digitali, purché presentate come non ufficiali e conformi alla Sezione 5.
3.3 — Ogni altra forma di progetto creativo o commerciale è consentita anche se non espressamente elencata, nel rispetto della Sezione 5.
4.1 — L'Holder può concedere sub-licenze scritte a terzi (produttori, editori, sviluppatori, partner) strettamente limitate agli Usi Consentiti dell'Artwork del Fragment posseduto.
4.2 — Le sub-licenze non possono concedere diritti più ampi di quelli dell'Holder e devono imporre al sub-licenziatario i limiti della Sezione 5.
4.3 — Al trasferimento del Fragment, il diritto di concedere nuove sub-licenze passa al nuovo Holder. I prodotti già realizzati o contrattualmente impegnati in forza di una sub-licenza valida possono essere venduti fino a esaurimento, ma il precedente Holder e i suoi sub-licenziatari non possono avviare nuove produzioni.
5.1 — USO DEL NOME. Il nome “Nyfurion” non può essere usato come marchio principale di un progetto dell'Holder. L'uso secondario è consentito solo per identificare il Fragment posseduto (es. “Nyfurion Fragment #237”).
5.2 — OPERE UFFICIALI. L'Holder non può creare opere dichiarate o presentate come parti ufficiali o canoniche dell'universo Nyfurion. I progetti ufficiali restano dominio esclusivo del Creator.
5.3 — LORE. La lore ufficiale Nyfurion non può essere modificata, rivendicata o presentata come canonica. Le opere dell'Holder devono essere presentate come non ufficiali.
5.4 — CONTENUTI VIETATI. Il Fragment non può essere associato a progetti violenti, d'odio, discriminatori, illegali o dannosi per la reputazione, né usato in violazione della legge applicabile.
5.5 — LOGHI E ASSET. I loghi ufficiali, i marchi registrati e gli asset globali Nyfurion non possono essere usati senza autorizzazione scritta del Creator. Questa Licenza copre solo l'Artwork del Fragment posseduto.
6.1 — Se una Serie Ufficiale viene prodotta, il Creator destinerà il 10% (dieci per cento) dei Ricavi Netti ricevuti dal Creator da quella produzione a un Holder Royalty Pool.
6.2 — Il Pool è diviso tra gli Holder Verificati dei Fragment i cui personaggi hanno un ruolo principale in quella produzione (protagonista o spalla di rilievo), come stabilito e pubblicato dal Creator al momento della selezione, in proporzione al ruolo di ciascun personaggio secondo pesi definiti dal Creator. Le apparizioni minori e i cameo di sfondo non generano alcun diritto, salvo diversa decisione espressa del Creator.
6.3 — La selezione dei personaggi resta a totale discrezione del Creator e dei partner di produzione. I Fragment i cui personaggi non appaiono non ricevono nulla. Questa royalty si applica esclusivamente alle Serie Ufficiali: nessun altro prodotto o progetto genera diritti economici per gli Holder.
6.4 — I pagamenti sono effettuati solo agli Holder Verificati, nella forma (criptovaluta o bonifico) e con le tempistiche comunicate tramite i Canali Ufficiali, sulla base della verifica alla data di ciascun pagamento.
7.1 — La verifica dell'Holder avviene on-chain tramite il claim ufficiale Nyfurion Holder Archive: richiede sia la proprietà attuale (ownerOf) sia il claim completato (canAccess), come implementato dal contratto.
7.2 — La verifica usa solo dati pubblici della blockchain. Gli eventuali dati personali forniti per i pagamenti sono trattati in conformità al Regolamento UE 2016/679 (GDPR) e usati solo per l'esecuzione di questa Licenza.
7.3 — COME ACCEDERE AI FILE HOLDER. L'area holder è disponibile sul sito ufficiale nyfurion.com (sezione Holder). L'Holder collega il wallet che possiede il Fragment, firma il messaggio di verifica gratuito e, solo la prima volta, completa la registrazione del claim on-chain (si applica una piccola commissione di rete). Da quel momento ha accesso ai file riservati del Fragment posseduto (referenze, licenza, contenuti extra). Le istruzioni passo passo sono pubblicate nei Canali Ufficiali.
8.1 — Questa Licenza è efficace finché l'Holder possiede il Fragment.
8.2 — In caso di violazione della Sezione 5, il Creator può notificare l'Holder, che ha 30 giorni per rimediare. In mancanza, il Creator può sospendere o revocare i diritti commerciali per quel Fragment. L'esposizione personale e non commerciale dell'Artwork posseduto non è toccata.
8.3 — La risoluzione non riguarda i prodotti legittimamente immessi sul mercato prima della violazione, salvo che siano essi stessi l'oggetto della violazione.
9.1 — L'Artwork e questa Licenza sono forniti “così come sono”, senza garanzie di alcun tipo, incluse l'idoneità a uno scopo specifico o il successo commerciale dei progetti dell'Holder.
9.2 — NESSUNA PROMESSA FINANZIARIA. I Fragment sono arte digitale collezionabile con diritti d'uso. Il Royalty Pool della Sezione 6 è un diritto di licenza legato alla proprietà intellettuale del Fragment, si applica solo se una Serie Ufficiale viene effettivamente prodotta e non è una promessa di profitto. Possedere un Fragment non costituisce un investimento, un titolo o uno strumento finanziario; nulla in questa Licenza o nelle comunicazioni ufficiali Nyfurion costituisce consulenza finanziaria o offerta di investimento.
9.3 — Nella misura massima consentita dalla legge, la responsabilità complessiva del Creator verso un Holder ai sensi di questa Licenza non supererà il prezzo pagato da quell'Holder per il Fragment.
9.4 — IMPOSTE. Ciascuna parte sostiene le proprie imposte. Gli Holder sono gli unici responsabili del trattamento fiscale delle somme ricevute ai sensi della Sezione 6 nel proprio Paese di residenza.
9.5 — NESSUNA SOCIETÀ. Nulla in questa Licenza crea partnership, agenzia, rapporto di lavoro o joint venture tra il Creator e alcun Holder.
10.1 — Il Creator può pubblicare versioni aggiornate di questa Licenza. Ogni versione è identificata da un numero e dall'hash SHA-256 del suo file PDF; gli hash possono essere ancorati on-chain per verifica pubblica.
10.2 — All'Holder si applica la versione in vigore al momento dell'acquisto del Fragment, salvo che una versione successiva conceda condizioni più favorevoli, nel qual caso l'Holder può scegliere di adottarla.
10.3 — Storico versioni: v1.2 (luglio 2025) prima licenza commerciale; v2.0 (agosto 2025) edizione Reborn; v2.1 (luglio 2026) Royalty Pool della Serie Ufficiale; v3.0 (luglio 2026) framework legale completo; v3.1 (luglio 2026) edizione bilingue, diritti morali, GDPR, imposte, comunicazioni e cessione.
11.1 — Questa Licenza è regolata dalla legge italiana.
11.2 — Prima di qualsiasi azione legale, le parti si impegnano a tentare in buona fede una soluzione amichevole per 60 giorni dalla comunicazione scritta della controversia.
11.3 — Per ogni controversia non risolta amichevolmente è competente in via esclusiva il Foro di Udine (Italia), fatte salve le norme inderogabili a tutela dei consumatori applicabili nel Paese di residenza dell'Holder.
12.1 — Se una clausola risultasse invalida, le restanti restano pienamente efficaci. Questa Licenza costituisce l'intero accordo tra Creator e Holder riguardo al Fragment.
12.2 — COMUNICAZIONI. Le comunicazioni ufficiali su questa Licenza avvengono tramite i Canali Ufficiali; le comunicazioni al singolo Holder possono avvenire tramite i recapiti da lui eventualmente forniti.
12.3 — CESSIONE. Il Creator può cedere l'amministrazione di questa Licenza a una società da lui controllata — inclusa una futura società da costituire con il nome “Nyfurion” — senza ridurre i diritti concessi agli Holder.
12.4 — LINGUE. Questa Licenza è pubblicata in inglese e in italiano. In caso di divergenza prevale la versione inglese.
